Drippa Terms of Service
Last updated: 8 October 2026
These Terms of Service ("Terms") are a binding agreement between Drippa, Inc., a Delaware corporation ("Drippa", "we", "us"), and the organization that signs up for Drippa or signs an Order Form ("Customer", "you"). If you accept these Terms for an organization, you confirm you have authority to bind it.
1. Definitions
- Service: the Drippa platform, including the web app, integrations, review agents, APIs and related support.
- Order Form: any order form, design partner agreement or online checkout (including a plan bought through Stripe) that references these Terms.
- Customer Data: data you or your Users submit to the Service, or that the Service accesses through your Connected Systems.
- Connected Systems: third-party tools and environments you connect to Drippa, such as GitHub, Slack, Jira, Linear, Notion, Granola, and your preview, staging or production environments.
- Outputs: content the Service generates for you, such as intents, reviews, test steps, walkthrough recordings, summaries and suggested tickets.
- Users: your employees and contractors who you allow to use the Service.
- DPA: the Drippa Data Processing Agreement published at drippa.ai/dpa.
2. Using the Service
2.1 Access. Subject to these Terms and payment of fees, Drippa gives you a non-exclusive, non-transferable right during your subscription for your Users to use the Service for your internal business purposes.
2.2 Accounts. You are responsible for your Users, for keeping login details secure, and for all activity under your account. Tell us at security@drippa.ai if you suspect unauthorized access.
2.3 Business use only. The Service is for businesses. It is not meant for consumers or for anyone under 18.
2.4 Changes to the Service. We improve the Service all the time. We will not materially reduce the core functions of a paid plan during a subscription term.
2.5 Beta features. Features marked beta, preview or early access are provided as is. They may change or be removed and are not covered by any service levels.
3. Connected Systems and review agents
3.1 You choose which Connected Systems to connect and what access to grant. You confirm you have the right to grant that access.
3.2 Some features run automated agents in your environments using credentials you provide, for example to open a preview deployment, follow test steps and record what happened. You decide the scope of those credentials and can revoke them at any time. Use test accounts and test data where you can. Do not give Drippa access to production systems that hold sensitive personal data unless we have agreed to it in writing.
3.3 Drippa stores credentials encrypted and uses them only to provide the Service.
3.4 Connected Systems are run by third parties under their own terms. Drippa is not responsible for them, or for changes on their side that affect the Service.
4. AI features and Outputs
4.1 The Service uses AI models, including the third-party providers listed in the DPA, to create Outputs. Outputs can be wrong or incomplete. You are responsible for reviewing Outputs before you rely on them, including before you ship changes to production.
4.2 As between you and Drippa, you own the Outputs, subject to Drippa's rights in the Service itself.
4.3 Drippa does not use Customer Data or Outputs to train AI models, and requires its AI providers not to do so.
5. Acceptable use
You will not, and will not let anyone else:
- use the Service in breach of any law or anyone's rights;
- upload malware, or try to break, probe or overload the Service, unless we have agreed to security testing in writing;
- reverse engineer the Service, or copy it to build a competing product;
- resell the Service or share access outside your organization;
- submit special categories of personal data (such as health data) or payment card data, unless agreed in writing;
- use the Service to make decisions that have legal effects on individuals.
We may suspend access to stop a breach of this section or a security threat. We will tell you promptly and restore access once the issue is fixed.
6. Fees and payment
6.1 Fees are set out in your Order Form or in the plan you choose at checkout. Unless your Order Form says otherwise, subscriptions are billed in advance in USD through Stripe and renew automatically for the same period until cancelled.
6.2 Usage limits for your plan are shown at checkout or in your Order Form. If you go above them, we may ask you to move to a higher plan.
6.3 Fees do not include taxes. You pay any applicable taxes, other than taxes on Drippa's income. Where the reverse charge applies (for example VAT for customers in the EEA or UK), you account for it.
6.4 If a payment fails and is not fixed within 14 days of our notice, we may suspend the Service until it is.
6.5 We may change list prices with at least 30 days' notice. A change applies from your next renewal.
6.6 Fees are non-refundable, except where these Terms or the DPA say otherwise.
7. Customer Data
7.1 You own Customer Data. You give Drippa the right to host, copy, process and display it only to provide, secure and support the Service, and as you instruct.
7.2 The DPA forms part of these Terms and applies to personal data Drippa processes for you. By accepting these Terms you accept the DPA. A countersigned copy is available on request from privacy@drippa.ai.
7.3 Our Privacy Policy explains how we handle personal data about account holders and website visitors.
7.4 Drippa may use aggregated, de-identified information about how the Service is used (not the content of Customer Data) to run and improve the Service.
7.5 Drippa maintains the security measures described in the DPA and on our Trust Center.
8. Confidentiality
Each party will keep the other's non-public information confidential, use it only for this agreement, and share it only with people who need to know it and are bound by similar duties. This does not apply to information that is public, already known to the receiving party, independently developed, or lawfully received from someone else. A party may disclose information if the law requires it, after giving notice where allowed. These duties last for the agreement and 3 years after it ends, and for trade secrets as long as they stay secret.
9. Intellectual property and feedback
Drippa owns the Service and all improvements to it. You own Customer Data and Outputs. If you give us feedback, we may use it freely and without any obligation to you. Nothing in these Terms transfers ownership except as stated here.
10. Term and termination
10.1 These Terms apply for as long as you use the Service. Each subscription runs for the term in your Order Form or plan.
10.2 You can cancel at any time in your account settings or by emailing team@drippa.ai. Cancellation takes effect at the end of the current billing period, unless your Order Form says otherwise.
10.3 Either party may terminate if the other materially breaches these Terms and does not fix the breach within 30 days of written notice.
10.4 When your subscription ends, your access ends. You can ask us to export your data within 30 days after that. Drippa then deletes Customer Data as set out in the DPA.
10.5 Sections that by their nature should continue after termination will continue, including fees owed, confidentiality, intellectual property, disclaimers, limits of liability and section 14.
11. Warranties and disclaimers
Drippa warrants that the Service will perform materially as described in its documentation. If it does not, tell us and we will work to fix it. If we cannot fix it within 30 days, you may end the affected subscription and get a refund of prepaid fees for the rest of the term.
Except for this warranty, and to the extent the law allows, the Service and Outputs are provided "as is". Drippa disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Drippa does not promise that Outputs will be accurate or that the Service will run without interruption.
12. Indemnities
12.1 Drippa will defend you against third-party claims that the Service infringes their intellectual property rights, and pay any damages finally awarded or agreed in a settlement. This does not cover claims caused by Customer Data, Connected Systems, Outputs you have changed, or use in breach of these Terms. If such a claim arises, Drippa may change the Service, get a license, or end the affected subscription and refund prepaid fees for the unused term.
12.2 You will defend Drippa against third-party claims arising from Customer Data or your breach of section 5, and pay any damages finally awarded or agreed in a settlement.
12.3 The party asking for protection must give prompt notice, let the other party control the defense, and cooperate reasonably.
13. Limitation of liability
13.1 Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if told they were possible.
13.2 Each party's total liability under these Terms is limited to the fees paid or payable by you in the 12 months before the event that caused the claim.
13.3 These limits do not apply to your payment obligations, to either party's obligations under section 12, to your breach of section 5, or to liability that cannot be limited by law.
14. General
- Order of precedence: an Order Form wins over these Terms. The DPA wins over these Terms for personal data.
- Changes to these Terms: we will tell you by email or in the app at least 30 days before a material change takes effect. For paid subscriptions, the change applies from your next renewal, unless the law requires otherwise.
- Support: customers with an Order Form receive support under the Drippa Service Level Addendum when it is attached. Others receive support by email at team@drippa.ai on a best-effort basis.
- Publicity: Drippa may name you as a customer and show your logo. You can opt out at any time by emailing team@drippa.ai.
- Assignment: neither party may transfer this agreement without the other's consent, except to a successor in a merger or a sale of all or most of its business.
- Force majeure: neither party is liable for delays caused by events beyond its reasonable control.
- Notices: notices to Drippa go to privacy@drippa.ai. Notices to you go to the email address on your account.
- Governing law: these Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. The courts of Delaware have exclusive jurisdiction.
- Other: these Terms and any Order Form are the entire agreement on this subject. If a term is found unenforceable, the rest still applies. Not enforcing a right is not a waiver. The parties are independent contractors, and there are no third-party beneficiaries.
